I am using MSI 745 Ultra (MS-6561) Motherboard with Athlon XP 2000+ AXDA200DUT3C. I am planning to upgrade to 2400+ AXDA2400DUV3C for a better gaming performance. Does it make a big difference when it comes to gaming? Or should I replace my old rig for a new one?

long as the cpu is for free.. it will give a slight improvement.
certainly not worth spending the money.

changing to a newer platform will be ur best bet

It should help the productivity of your PC,
but for better gaming performance I would consider to upgrade your graphic card first
