in the offical site of asrock (section bios update) says's if i update MB bios to ver.2.6 the MB will work with AMD sempron 3000+ . After update and changing FSB from 266MHz to 333MHz..... powering up.... the PC not responding!!!
It behaves like fsb is to much for CPU. What is the problem?

Could you please explain exactly what happenes when you try either 266fsb or 333fsb?
It could be your cooler isn't installed properly, your PSU isn't powerful enough, your cpu can't handle the rated speed for some reason (unlikely, but theres a slim chance it's a fake or that something else is wrong with it).
Also check to make sure you're using memory that can handle DDR333 speeds

Edit:Obvious, but I forgot to mention, make sure all your settings in your BIOS are correct (no accidental PCI overclock etc)

Sempron 3000+ should work on that board. Check what Tetrium suggest. I hope you was carefully at mounting heatsink (CPU core is weak for mechanical damages).
