Need help for choosing

Hi !
Im not such a pro in CPU, so i have a few questions maybe you can help me ..

1)I want to upgrade my pc because last months is really getting slow.. while using heavy apps or playing games.. my new games(2010-2011) are shocking..
My PC specs are :
Core2Duo 2.66Ghz E6750
Nvidia GeForce 9600GT 1.7GB Pixel Shader 4.0 Vertex Shader 4.0
3GB RAM
Windows 7 ultimate 32Bit
*I think my Graphics card is good enough and that my CPU is too slow or old ?

2) I have a gigabyte GA-945GCMX-S2 , S-Series motherboard. It's Core2Duo Supported
*Can i use this motherboard for a Core2Quad CPU ? The manual is in chinese so i cant find any info..

Any suggestions about improving my pc speed are really welcome !

I think you cpu and video card are balanced at the moment.
Motherboard have old chipset and dont support Core2Quad cpus. ( http://www.gigabyte.com/products/product-page.aspx?pid=2521# Cpu Support List). Better cpu for this motherboard is C2D E8 series (E8600/8400/8300/8200).
If you want play new games with good graphic and resolution you need also better video card.
I recommend, if possible, buy new motherboard+cpu+video card.
