Should I change my fan?

Hi, I'm buying a new CPU but before I'd like to ask you some questions.

I have an Intel Pentium® 4 641 and want to change to an Intel Core 2 Duo E6600. Here's the comparison chart:

As you could see, it's better.

1. Should I change my fan?

2. Does it work in my motherboard? ASROCK G31M-VS2?

TDP Thermal Power Design, of you Pentium 4 is 65W or 85W and TDP of Core 2 Duo E6600 is 65W, so your fan should be sufficient.
