My PC's Specs:
emachines(W3107)

AMD Sempron 3100+ Processor
(256KB L2 cache,1.8GHz,1600MHz system bus)

Windows XP Home Edition(SP2)
NVIDIA Crush 51 chipset

2GB DDR(PC3200)400MHz Patriot signature line memory
100GB (7200rpm,2MB cache)harddrive
16 x multiformat dual-layer DVD+RW drive

8-in-media manager
NVIDIA 6100 GPU (Upgrading to 7300GT)
6-Channel(5.1)AC97'audio

Any suggestions on what CPU,That I can upgrade too?My socket is 754

My cpu budget is from $120.00-200.00

Strange... Semprons have only one HyperTransport link, i.e. they have 800 MHz bus speed.

It doesn't make sense to upgrade to faster Semprons - the fastest socket 754 Sempron is 3400+. If I'm not mistaken the fastest socket 754 processor is Athlon 3700+ ADA3700AEP5AR. I don't know if it's supported by your motherboard or not because you didn't say what your motherboard is.

FIC K8MC51G

It looks like it's an OEM board. There is not much information for this board on FIC website, so I can't confirm if it supports Athlon 3700+ or not. It does support Sempron 3400+.

Yeah,I've spoken to a tech at FIC.The best that I can get on that motherboard is a Sempron 3400+

But,still it'll be some.If only a little improvement over my Sempron 3100+

Plus,I've read some reviews.The 3400+ will overclock better than the 3100+.If I should decide to get into that area of things.

Okay,check this out.I've really had it with the performance of this Sempron 3100+ 1.8GHz processor and this mobo too.

Here's my plan I'am strip-down my emachines for the good stuff.And build another PC ;using a new mobo & cpu.Now here's where you all come in.

I'll be keeping this stuff for the new PC:
100GB Hdd(7200rpm)
16 x multiformat dual-layer drive
OCZ 600-watt I just ordered
2GB DDR(2 x 1GB)400MHz (PC3200)Patriot signature memory 184-pin
BFG Tech 7600GT OC PCI-E x 16 card

Ok,now what I want help with is finding a mothherboard/cpu that'll work with my ram & video card?

We replaced 6 power supplies and 4 motherboards last month.

If you want to stick with AMD then the best upgrade path is to buy socket AM2 board and processor. Unfortunately, your existing memory will not work with socket AM2 boards, you'll either will need to replace your memory or buy socket 939 board. From single core AMD processors I like Athlon 3800+ - it probably has the best price/performance ratio. Dual-core AMD processors are bit overpriced.

With Intel it's simple - switching to Pentium 4 doesn't make sense, this architecture is dead. Intel Core 2 Duo is the way to go, but their prices start at $180 - $190, the motherboards are more expnsive than AMD socket AM2/socket 939 motherboards, and they require DDR2 memory.
